IN NO EVENT SHALL OUR TOTAL LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES EXCEED THE AMOUNT PAID BY YOU TO US, IF ANY, DURING THE SIX (6) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY.
You agree to defend, indemnify, and hold harmless FileTheBOIR.com, its affiliates, licensors, service providers, and their respective officers, directors, employees, and agents from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to your violation of these Terms or your use of the Services.
We may terminate or suspend your access to the Services at our sole discretion, without prior notice or liability, if we believe you have breached any part of these Terms or if we decide to discontinue the Services. You may discontinue your use of the Services at any time.
These Terms and any dispute arising out of or related to these Terms or the Services shall be governed by and construed in accordance with the laws of the jurisdiction in which we are located, without regard to its conflict of law provisions. Any dispute arising from these Terms shall be resolved exclusively in the state or federal courts located in that jurisdiction, and you consent to the personal jurisdiction and venue of those courts.
We reserve the right, in our sole discretion, to modify or replace these Terms at any time. If we make material changes, we will provide notice through the Services or by other means. Your continued use of the Services following the posting of revised Terms indicates your acceptance of those changes.
If any provision of these Terms is held by a court of competent jurisdiction to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect.
These Terms, together with our Privacy Policy and any other legal notices posted on the Site, constitute the entire agreement between you and FileTheBOIR.com regarding the Services and supersede all prior or contemporaneous agreements, understandings, and communications.
